These Terms of Service (“Terms”) govern your access to and use of the website https://theimpacthub.ai/ (the “Website”), the services, features, content, and applications offered by Impocthub (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms; Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

We may update these Terms from time to time. We will notify you of material changes (e.g., via email or in-Service notice). Continued use after changes constitutes acceptance.

2. Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use

You are fully responsible for all activities under your account. We reserve the right to suspend or terminate accounts for violations of these Terms.

3. User Content

The Service allows you to upload, submit, store, send, or receive content (“User Content”), including text, files, images, feedback, and other materials.

Ownership: You retain ownership of your User Content. By uploading User Content, you grant Impocthub a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify (for formatting/technical purposes), distribute, display, and perform such User Content solely to provide, maintain, improve, promote, and protect the Service.

Your responsibilities: You represent and warrant that:

  • You own or have all necessary rights/licenses for your User Content
  • It does not infringe third-party rights (intellectual property, privacy, etc.)
  • It complies with all applicable laws

We do not claim ownership of your User Content but may remove or disable access to any content that violates these Terms, applicable law, or poses risk to the Service/users.

4. Acceptable Use

You agree not to:

  • Use the Service for illegal purposes or in violation of any law
  • Upload content that is unlawful, harmful, threatening, abusive, defamatory, obscene, infringing, or invasive of privacy
  • Interfere with the Service (e.g., viruses, bots, scraping)
  • Attempt to gain unauthorized access
  • Use the Service to compete with Impocthub or reverse-engineer the Service

We may investigate and take action (including termination) for violations.

5. Subscriptions and Payments

Certain features require a paid subscription (“Subscription Plans”).

  • Pricing and features are described on the Website
  • Payments are processed by third-party providers (subject to their terms)
  • Subscriptions are billed in advance (monthly/annually as selected)
  • You authorize recurring charges until canceled
  • Cancellation: You may cancel anytime via your account settings. Access continues until the end of the current billing period (no refunds for partial periods unless required by law)

Taxes, fees, and currency conversion are your responsibility. We may change pricing with notice.

6. Feedback

Any feedback, suggestions, or ideas you provide (“Feedback”) may be used by us without restriction or compensation. You waive any rights in such Feedback.

7. Intellectual Property

The Service (excluding User Content) is owned by Impocthub or its licensors and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal/internal business purposes in accordance with these Terms.

8. Third-Party Services

The Service may integrate with third-party services. Your use of such services is governed by their terms. We are not responsible for third-party content or practices.

9. Termination

We may suspend or terminate your access at any time for violation of these Terms, non-payment, or at our discretion, with or without notice.

Upon termination, your right to use the Service ends. Sections that by nature should survive (e.g., ownership, licenses granted, limitations of liability, governing law) survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPOCTHUB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100, WHICHEVER IS GREATER).

Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the extent permitted.

12. Indemnification

You agree to indemnify and hold harmless Impocthub and its affiliates from any claims, losses, liabilities, damages, costs (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, violation of these Terms, or violation of third-party rights.

13. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy [link to be inserted], which explains how we collect, use, and protect personal data.

For users in the EU/EEA or where GDPR applies: We process personal data in compliance with the General Data Protection Regulation (GDPR). 14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Atlanta, Georgia. You agree to submit to the personal jurisdiction of such courts.

For EU/EEA consumers: Mandatory consumer protection rights under your local law are not affected.

15. Miscellaneous

  • Entire agreement: These Terms (together with the Privacy Policy) constitute the entire agreement.
  • Severability: If any provision is invalid, the remainder remains in effect.
  • No waiver: Failure to enforce a right does not waive it.
  • Assignment: We may assign these Terms; you may not without our consent.
